                        Licensing Agreement

1. Uniformity of pricing is Non-negotiable (in order to maintain integrity of the product line.) In the event of multiple sales to one customer, there is a 15% reduction allowed on that purchase.

2. Please post, in a prominent place, the Federal Law prohibits the exchange or refund of the hairpieces, please be confident in your purchase. (Enclosed in initial purchase)

3. The got hair?! TM name poster is to be prominently and permanently located on the top of the grid of the kiosk.

4. Included with a minimum investment of $3,500.00 ( Plan # 1) I will supply the following kiosk display items: The grids, The foam core poster, the lighting, the hooks, the basket, the mirrors, three mannequin heads, with wigs, in which you may add the hairpieces to, which mount on the top of the grids to display the three hairstyles, and a color wheel. (A $350 value)

5. With orders of $1,000.00 or more, ( Plan # 2) the $350.00 kiosk display fee will be added to your first order. This display is to be utilized only for products of got hair?! TM The product is to only be displayed on the kiosk set-up provided by got hair?!TM Non- negotiable.

6. You agree to purchase got hair?!TM product lines exclusively. Which includes hair, sunglasses, hair jewelery and accessories. The hair products are to be purchased in increments of six pieces per color per style. Got hair?!TM Tags are to be placed on all items and kept on until sold. You have the latitude to carry just hair or entire line.

7. Shipping F.O.B. From Minneapolis, MN. No returns or exchanges on hairpieces except for damaged merchandise, to be reported within five days. Shipping via UPS, unless you designate another method. All product will be shipped COD, cashier or money order, with appropriate, acceptable credit references, I will be happy to accept your business check.

8. Licensing fees are to be paid accordingly. 10% of net sales ( minus the cost of product and shipping) are to be paid on a semi- annual basis, on the 15^th of the month, commencing, at the end of the first six month period, at the date closest to the onset of the acceptance of this agreement, and at year end. (You are responsible to submit semi-annual sales report with licensing fees. See attached form.)

9. Renewal of this contract is done annually. Prices and policy may be subject to change. It is renewable only if the policies of this contract are fulfilled and mutually agreed upon.

10. I agree to this contract, and consider it to be a legally binding contract.
